The directors present their annual report and financial statements for the year ended 31 May 2019

The principal activity of the company continued to be that of administrator of all matters relating to the United Counties Football League.

Chairman’s report on behalf of the Directors
I start this report with the sadness we all must feel about the passing of our former Chairman for the past 15 years, John Weeks, in November 2018. His death was all very sudden and to us very unexpected. John had been on the committee for 30 years and his wisdom, resoluteness and friendship will be missed. I am sure, the League, its Officers, clubs and players will agree we have lost a gentleman who had the league in his heart and mind and we through this report pass our condolences and best wish- es to his family. Success and sadness come in many forms and once again the League season has concluded, with Division winners and runners up, but also relegation for clubs from the Premier and Division One. The season started with the 5th annual Groundhop at the end of July at which Sleaford Town, the two Wellingborough’s, Town and Whitworths from the Premier Division together with Raunds Town from Division One all benefited from increased spectator attendance and I hope we can continue this worthwhile and timely event. In FA Competitions, success was high, with the FA Cup many clubs entered but two of note progressed to the second-round qualifying, Rugby Town and Anstey Nomads. High praise for reaching that stage. In the FA Vase two clubs also worthy of high praise for reaching the fifth round proper, both only losing by one goal were Leicester Nirvana and Deeping Rangers. One club with a team in the FA Youth Cup reached the third round seeing off Coventry U18 on the way, was Cogenhoe Utd U18 eventually being knocked out by Crystal Palace, I would think there are some stars waiting to break into the 1st team if they have not already. Turning to our own Cup competitions the KiTmanUK Knockout trophy played on Bank Holiday Monday attracted nearly 350 spectators to Raunds Town, who watched a competitive match with Daventry Town triumphing over Holbeach United 3-1. The reserve final played at Desborough at the end of March saw Cogenhoe Reserves beat a young side from Deeping Rangers Reserves by the same score 3-1. We were indeed fortunate to have sponsorship from KiTmanUK, which was the first time in the League history for prize money to be given to winners and runners up in both finals. We sincerely thank KiTmanUK again for this sponsorship. Moving on to the Divisional competitions, congratulations go to the Champions and second place teams in each. The final outcome in all 3 divisions was only decided in the last week of the season, which goes to show how competitive the League has become. Daventry Town pipped Deeping Rangers in the Premier having been nip and tuck throughout. Winning the League added to the Cup gave Daventry the double trophy success. In Division one the same close finish was achieved between Lutterworth Town and Anstey Nomads with one-point separating the two clubs on the last day. It also took until the final day to separate Desborough Town Reserves and Yaxley Re- serves both winning their last games with the latter making a late surge to try to catch the eventual winners. Premier winners Daventry await the FA decision as to their league for next season, but wherever they go they do so with our best wishes for another successful season. Lutterworth Town and Anstey Nomads will take their places in the Premier Division and I am sure they will hold their own in that tough environment as Pinchbeck did by finishing fourth having been promoted from Division one the previous season. Since the finalisation of all league competitions there has been some reorganisations which also affected our League. With the promotion of Daventry Town and the relegations of Wellingborough Whitworths (to Div 1) and Kirby Muxloe (to Midlands League) we then lost Eynesbury Rovers and Newport Pagnell Town (to the Spartan South Mids. League). It was a disappointment to see these 2 well established clubs move but I do understand the reasoning behind these lateral transfers. I am sure you will join with me in wishing both teams the very best in their new surroundings. This now created 3 vacancies in the Premier Division, and these have been filled by a couple of clubs who have been with us previously, Quorn & Shepshed, together with Loughborough University who we welcome to the League and hope they enjoy a successful time with us. With promotions already agreed from Division 1 and a relegation of Thrapston we welcome new club Saffron Dynamos and a previous member, Whittlesey Athletic who have both been promoted from their respective Step 7 Leagues. Writing about sponsorship the League was very fortunate to receive Future Lions on a one-year deal to become the naming partner for the League having left our previ- ous sponsors late in proceedings. The deal ensured continuity whilst we searched for the next sponsor and we remain very grateful to Future Lions for their support, wish- ing them success in the future. During the season we lost just one team, St Andrews Reserves withdrawing through lack of players. I am a great advocate of Reserve team football and continue to sup- port this division as it will offer players transition into 1st teams which could not happen without them, so I was sorry to lose this team. I am led to believe we may have 2/3 new teams for the new season which all helps competition. In County Cups success for Deeping Rangers in Lincs Senior, overcoming Grimsby Borough on penalties in the final and to Melton Town just being edged out, again on penalties, to Heather St John in the Leics. & Rutland Senior Cup.

FOR THE YEAR ENDED 31 MAY 2019
We had to deal with the threat of a withdrawal from the Premier Division by Oadby Town. Lack of continuity, committee volunteers etc seemed to be the reasons given, but we were pleased that at least they did complete the season. The playing season, unlike the previous, did not have the same weather problems and with the new method, agreed by the clubs, all this helped out Fixture Director, Roger Walker, complete the season on time with few complaints. I pay tribute to Roger for this difficult and often unrewarding task and for all his help in constitutional matters. Thanks go also to our Referee and Observer appointing team of Simon Cheney, Mike Hair and Roger Coxhead. There is job you wouldn’t get me to do, thankless or what. Behind the scenes, often not seen but always available on the telephone, are our office team brilliantly led by our League Secretary Wendy Newey whose help in the transition since I took on the Chairman’s role has been nothing short of invaluable. My sincere thanks go to her but also to the team in the office in Peterborough. My Board and committee continue to work and assist unerringly without whom the League would be poorer. Thank you to them also. So, what about the future. There are changes afoot with the FA seeking to restructure leagues in Step 5 and 6 at the end of next season. I wish I had a crystal ball and could see how it will affect our League but all we can do is make a special effort at the interviews, we may be invited to, to increase our League by maybe 1 or possibly 2 divisions. Again, we may know by the time you read this report. We were unsuccessful in our bid to add a step 4 division recently due to the Northern Premier Leagues experience at that level being offered the opportunity to run this new League. However, on 20th May we attended a further interview with the FA for an additional Step 5 League and we reapplied for our Step 6 Division albeit in 2 areas. We will know more on this by the AGM. We hope we will be successful. We have a new headline League sponsor for the next 3 seasons UHLSPORT which will be facilitated by KiTmanUK. John and I worked on and it was a shame that he did not see it come to fruition as his was the major contribution. The benefit to clubs will be availability of discounted sports kits, sports equipment bag and finance to the League to assist with our work. I have also added partners, Sports Ground Development, Ritelite and Fleetline details available on our new League website at www.theucl.co.uk In 2020 we achieve our 125th anniversary. Details will be available through the course of the season but a date for your diary is 4th May 2020 which will be the celebra- tion day. Already planned is a football match between an FA Representative X1 and a UCL X1. In closing, I offer best wishes, success without the sadness for the new season. I look forward to meeting up with you around the circuit but more importantly I want you to be able to pick up the phone to me. Don’t wonder about issues, ask me, and if I do not know the answer I commit to finding out and calling you back.

United Counties Football League is a private company limited by guarantee incorporated in England and Wales. The registered office is Nene Valley Community Centre, Candy Street, Peterborough, PE2 9RE.
For the year ended 31 May 2019 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and preparation of financial statements.
The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476.
These financial statements have been prepared in accordance with the micro-entity provisions and in accordance with FRS 105 ‘The Financial Reporting Standard applicable to the Micro-entities Regime’ and the provisions applicable to companies subject to the small companies regime.

1. DEFINITIONS
“Participant” shall be as defined in the Rules of The FA
2. MEMBERSHIP REQUIREMENTS 2.2
All Clubs shall have Grounds and headquarters situated in England the Channel Islands, Isle of Man if applicable, or Wales and the Competition Secretary shall send their names and particulars to The FA annually by the date appointed by, and in the format required by, The FA. Clubs playing in England shall be duly affiliated at all times to a recognised County Football Association. Welsh Clubs shall be affiliated to The FA of Wales. Each Club shall notify the Competition Secretary of its affiliation number each year as soon as practicable after it has received same. Each Club shall return to the General Manager Competition Secretary a fully completed questionnaire relating to Form “D” required by The FA by the date given in the circular letter accompanying the questionnaire issued by the Competition Secretary. 2.4 No club which is a “nursery” club for a football club shall be eligible for membership of the Company. No club which is a reserve side for a football club shall be eligible for membership of the Premier Division or Division One A club shall be deemed to be a “nursery” club if it is under obligation, written or otherwise, to another football club by reason of which it has not the sole and entire control of its own management, finance and players. 2.20 Any Club failing to be represented at throughout an Annual General Meeting or any other General Meeting called in accordance with the Rules without satisfactory reason being given shall be fined in accordance with the Fines Tariff.
6. REGISTRATION OF PLAYERS 6.4.5
Except when where mutually agreed between the Clubs in writing, and specific approval has been given by the Board a Club cannot register more than one Contract or Non Contract Player , contract or non-contract, from registered to another Club or club at any one time unless a period of 14 28 days has elapsed between each registration. the first and the second notice of approach or acknowledgement.
6.4.7 A Club may register any number of Work Experience Players but only two (2) may play in any one match, in accordance with FA Rules.
6.5
Transfers
6.5.1 The transfer of a registration of a Player under written Contract from one Club to another must be in writing, on the Competition transfer form, signed by the Contract Player and the two Clubs, and the form must be forwarded to the Company for approval and registration. Such Contract Player does not become a bona-fide registered Player of the Club seeking his transfer until the form has been approved and registered by The FA and the Competition. The registration of a Contract Player whose Contract is cancelled by mutual consent shall be auto- matically cancelled upon receipt by the Competition of a copy of the relevant FA form. Where a Club cancels the registration of a Player , Contract Player or Non-Contract , for any reason whatsoever, the Club must notify the Regis- tration Secretary and The FA immediately, in writing or on the relevant Competition /FA form. To be valid such notification must be signed by an authorised signatory of that Club and the Player . Where a Club cancels the registration of a Non-Contract Player for any reason whatsoever, the Club must notify the Competition Secretary immediately, in writing or on the relevant Competition form. To be valid, such notification must be signed by an authorised signatory of the Club. Where the registration of a Contract Player has been terminated by either the Club or the Player, this must be in accordance with the provi- sions set out under FA Rule C1(I) and the terms of the contract. 6.5.4 A Club shall submit to the Board any contract it proposes to enter into which gives the Club or any other party to the proposed contract any rights relating to the transfer of the registration of a Player at a date in the future from or to the Club or any rights relating to the employment for the Player by the Club. Any such proposed contract shall be subject to the approval of the Board. 6.6.1 The player being taken on loan must sign a Competition contract registration form which will be valid for the full period of the loan, including any extension to the loan period. If the original Loan agreement contains a pre-agreed recall clause, a Player may be recalled by the loaning Club submitting written confirmation to the borrowing Club, the Competition and The FA. Where no pre-agreed recall clause exists, the cancellation must be agreed between the loaning Club, the borrowing Club and the Player. The loaning Club must submit written confirmation to the borrowing Club, the Competition and The FA. 6.6.3 Long Term Loan Transfers shall be for a full Playing Season; or from any date prior to 31st August to any date between 1st and 31st January; or from any date between 1st and 31st January (the January transfer window) to the end of the Playing Season. A Player on Long Term Loan may be recalled on any date from the beginning of the Loan until 31 August and between 1 and 31 January (inclusive) not be recalled , except for a goalkeeper or where the Player is to be transferred permanently by the Club (or club) holding his regis- tered contract. A Player other than a goalkeeper so recalled cannot be permitted to play for the Club (or club) holding his registration after such recall until the end of the Playing Season. Players so recalled can only be replaced by a further Long-Term Loan with permission from the Company. Long Term Loan Transfers will not count against the number of Short-Term Loan Transfers . in each case, subject to the agreement of the loaning Club, the borrowing Club and the Player which may be pre-agreed in a recall clause in the original Loan agreement CANCELLATIONS TERMINATIONS

8. PLAYING OF MATCHES. 8.9
A Club may not enter its first team any team in any outside competition, other than those listed in Rule 8.14, without the prior permission of the Board. The Competition Secretary must be informed of all fixtures, postponements and results of all matches played in any other competi- tion. 8.14 The home Club is responsible for publishing a full match programme acceptable to the Board for each of its Competition matches, which must feature the League Logo and Competition Sponsor(s) logo on the front cover, include a full-page advertisement for the Competition sponsor(s) on the right hand full page side of any double page spread, for each of its Competition matches in the Premier Division. A full match pro- gramme available electronically only shall be acceptable providing that each Club has approval from the Board before the commencement of the Playing Season and must be continuous for the whole of that Playing Season. A leaflet providing the names of players will not be consid- ered sufficient to comply with this Rule in the Premier Division. In Division One a programme or leaflet providing the names of player’s sheet must be produced which must feature the League Logo and Competition Sponsor(s) logo. A full match programme available electronically only shall be acceptable providing that each Club has approval from the Board before the commencement of the Playing Season and must be con- tinuous for the whole of that Playing Season. 8.29 All occupants of the technical area must wear the corporate bench kit supplied to each Member Club. The only exception would be the Team manager who will be allowed to wear suits and overcoats. Corporate bench kit supplied to each Member Club must also be worn by the play- ers and staff in warm-ups and warm-downs, and where possible in media interviews on match days. Failure to wear the bench kit will result in a fine. 14. MATCH OFFICIALS 14.11 Match Officials officiating in Competitions using the reporting functionality in The FA’s Match Official Administration System (MOAS) must re- port all breaches of Rule via MOAS within 48 hours of the conclusion of the match . Referees must report all breaches Match Officials officiating in Competitions not using the reporting functionality in MOAS must report all breaches of Rule to the Competition Secretary in writing within three days of the match on the appropriate form by first class post or electronically. 19. ALTERATIONS TO RULES Proposals for alterations to Rules, together with the name of their proposers and seconders, shall be received by the League Secretary not later than 30 th November/ 31st January prior to the date fixed for the Annual General Meeting of the Company in each year or not later than eight weeks before the holding of an Extraordinary General Meeting called for the purpose of amending the Rules. 20. ADMISSION CHARGES The minimum charge for admission to all matches shall be determined from time to time by the Board. Admission charges, excluding home Club concessions as appropriate , must be the same for home and visiting supporters at Competition matches. for equivalent accommodation. If there is no equivalent accommodation, the Board may in its absolute discretion consider the charg- es set by the home Club and determine a reasonable equivalent admission charges for visiting supporters, which shall be implemented by the home Club until the end of the current Playing Season Clubs may, with the written permission of the Board, have a maximum of three Competition Match days each Playing Season during which they can vary general admission charges for adults including allowing free admission Concessionary admission charges or pricing policies for disabled people and their carers/helpers, senior citizens, students, children, unemployed, armed forces etc, if available for home supporters, must be offered on a similar basis to visiting supporters. KNOCK-OUT COMPETITIONS 6 Ineligible Players Any Club playing an unregistered or otherwise ineligible player or players shall be liable to a fine in accordance with the Fines Tariff and at the discretion of the Board may also be removed from the Competition. Reserve Division(s) and Under 21 Division(s) Rules
QUALIFICATION OF PLAYERS
(L) A Player shall not be eligible to play for a Team in any special championship, promotion or relegation deciding Competition Match (as specified in Rule 22(A)) unless the Player has played 6 Competition Matches for that Team in the current Playing Season
(M)A Team shall not include more than 3 Players who has/have taken part in Step 3 or more senior Competition Matches during the current Playing Season unless a period of 21 days has elapsed since they last played. For the purpose of this Rule a senior competition(s) is Step 3. Failure to comply with this Rule will result in a fine in accordance with the Fines Tariff.
